When Domo created $ORDI,¹ he also released a Gitbook document² stating that it “should be regarded as the definitive brc-20 white paper.” This was the opening line in the document:
“brc-20 Read every word if you decide to test. These will be worthless. Use at your own risk.”
With this in mind, I want the DomoDucks brand to be both spotless and bulletproof; therefore, it's incumbent upon me to publicly present all of the necessary information relating to $QUAQ before it's publicly listed. $QUAQ is a brc-20 meme token within the DomoDucks community—analogous to how $HONK is celebrated within the Goosinals community. The value of a meme token (e.g., like $QAUQ or $HONK) is not derived from utility, but by speculative trading and collective market sentiment. With this in mind, the following words of Kyle Niedzwiecki, Elijah Levine, and Eric Swartz should be thoroughly contemplated:
“In fact, assume that the documentation for a memecoin offering explicitly states that (i) purchasers should not expect to profit or generate a return through receipt/ownership of the applicable fungible tokens, (ii) no one currently intends to exert any effort or provide any assistance in bringing about a profit or return for holders of such tokens and (iii) purchasers are virtually assured to lose all money used to purchase such tokens. In such circumstances, it would be very difficult for a court to find that the reasonable expectation of profits to be derived from the efforts of others portion of the Howey test was satisfied because the foregoing eliminates any reasonable expectation of profit that an investor could have.³”
Therefore, we at DomoDucks are going to follow in the footsteps of Domo by stating the following:
